GlowCode Named Single-User License Agreement (EULA)

Important: Read before proceeding: By clicking on "Next," electronically downloading, copying, installing, or otherwise using GlowCode Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not click "Next," download, copy, install, or otherwise use GlowCode Software.

GlowCode and GlowCode .NET are owned by Electric Software, Inc. and are protected by U.S. copyright laws and international treaties.

  1. LICENSE DEFINITIONS.
    GlowCode Software is defined as the code, dynamic link libraries, license key codes, sample programs, documentation and other materials constituting and pertaining to all GlowCode products, including GlowCode and GlowCode .NET and all updates and upgrades thereto.

  2. GRANT OF SINGLE-USER LICENSE.
    Subject to all of the terms and conditions in this Agreement, Electric Software, Inc. grants to you, one user (the "Licensee") the non-exclusive, non-assignable copyright license to use GlowCode Software. Electric Software, Inc. reserves all rights not expressly granted to you.
  3. REGISTRATION and LICENSE KEYS.
    You must register with Electric Software, Inc. before installing and using the GlowCode Software. (To register, go to www.glowcode.com, and submit the registration form on the Purchase or Evaluate page.) As a registered user, you will receive a Single-User License Key. You may not use the GlowCode Software without the Single-User License Key that Electric Software, Inc. has designated specifically for you. If your License Key is designated as a "Temporary Evaluation License Key," additional restrictions apply, as set forth below.
  4. LICENSE RESTRICTIONS.
    You, the licensee, are not authorized and agree not to: (i) modify, adapt, translate, or create derivative works based upon, in whole or in part, the GlowCode Software; (ii) reverse engineer, decompile, or disassemble the GlowCode Software; (iii) sublicense, publish, rent, lease, loan, or resell the GlowCode Software without prior written permission from Electric Software, Inc.; (iv) use or copy the GlowCode Software, except as provided in this agreement. Further, the scope and duration of your license is restricted as follows:
    1. TEMPORARY EVALUATION LICENSE.
      A Temporary Evaluation License is subject to all terms set forth in this Agreement, and is to be used for evaluation purposes only, as follows: (i) You are permitted to use the GlowCode Software with your application(s) only for the purpose of determining whether the GlowCode Software meets your requirements, and (ii) You and your organization are not permitted to use any data generated by the GlowCode Software for any purpose other than to determine whether the GlowCode Software meets your requirements. Further, a Temporary Evaluation License Key is limited to a single user and expires on the specified date. You must not attempt to circumvent the expiration date. Upon expiration, a license must be purchased or the GlowCode Software must be uninstalled.
    2. SINGLE-USER LICENSE.
      A Single-User License is subject to all terms of this agreement, with the exception of the evaluation restrictions in the paragraph above. With a valid single-user license you, one user, may install and use the GlowCode Software on a single computer workstation. If you later want to install the GlowCode Software on a different workstation, you must first remove the Single-User License Key from the previous installation, or purchase additional licenses.
  5. PRODUCTION and DISTRIBUTION of SINGLE-USER LICENSE KEY and SOFTWARE.
    Only Electric Software, Inc. is permitted to produce and distribute GlowCode Software, including GlowCode License Keys. To use any copy of the GlowCode Software, you must first register with Electric Software, Inc., and obtain a license key from Electric Software, Inc., designated specifically for you (as described above). Use of a GlowCode license key produced by any source other than Electric Software, Inc. is a violation of this agreement. License key transfer is not allowed, except with the express permission of Electric Software, Inc.. Production and distribution of the GlowCode Software is authorized solely by Electric Software, Inc. Each copy of the GlowCode Software must be a true and complete copy of the entire installation file, and include the Electric Software, Inc. copyright notice and trademarks.
  6. OWNERSHIP OF GLOWCODE SOFTWARE.
    Electric Software, Inc. retains the copyright, title, and ownership of the GlowCode Software and the written materials regardless of the form or media in or on which the original and other copies may exist. Electric Software, Inc. retains all intellectual property rights, including and without limitation, trade secret, patent, trademark, and copyright, in the GlowCode Software.
  7. DISCLAIMER OF WARRANTY.
    THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD "AS IS" AND WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESS OR IMPLIED. NO WARRANTY OF FITNESS FOR A PARTICULAR USE IS OFFERED.
  8. LIMITATION OF LIABILITY.
    ANY LIABILITY OF ELECTRIC SOFTWARE, INC. WILL BE LIMITED EXCLUSIVELY TO PRODUCT REPLACEMENT OR REFUND OF THE PURCHASE PRICE. ELECTRIC SOFTWARE, INC. SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OR INABILITY TO USE THE PRODUCT, EVEN IF ELECTRIC SOFTWARE, INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  9. GOVERNMENT END USERS.
    The GlowCode Software is provided with Restricted Rights. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of The Rights in Technical Data and Computer Software clause at DFARS 252.227-7013, or subparagraphs (c)(1) and (2) of the Commercial Computer Software - Restricted Rights at 48 CFR 52.227-19, as applicable.   10. GENERAL.
    In the event that any provision in this agreement is held by a court of competent jurisdiction to be contrary to law, the validity of the remaining provisions shall remain in effect. Any attempt to sublicense, assign, or transfer the rights, duties, or obligations hereunder is void. This Agreement shall be governed by the laws of the State of New York, USA.
  11. TERM.
    This license is effective until terminated. This License will terminate automatically without notice from Electric Software, Inc. if you fail to comply with any provision of this License. Upon termination, you shall destroy all the written materials and all copies of the GlowCode Software, including modified copies, if any.
